1. Acceptance of Terms
By accessing or using the IBC San Francisco website (ibcsanfrancisco.com) or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, you must not use our website or services. We reserve the right to modify these Terms at any time. Continued use of our services following changes constitutes acceptance of the revised Terms.
2. Description of Services
IBC San Francisco provides the following services related to intermediate bulk containers (IBCs):
- Sale of new, used, and reconditioned IBC totes
- Purchase of surplus, used, and empty IBC containers
- IBC reconditioning and cleaning services
- IBC recycling and responsible disposal
- Transportation and logistics for IBC pickup and delivery
- Custom IBC solutions and accessories
Service availability, pricing, and specifications are subject to change without prior notice. All services are subject to inventory availability and scheduling capacity.
3. Product Disclaimers
3.1 Used and Reconditioned IBCs
Used and reconditioned IBC totes are sold in their inspected condition. While we perform thorough quality checks and grading, these products have had prior use and may exhibit cosmetic imperfections including but not limited to scratches, discoloration, minor dents, and label residue. Such imperfections do not constitute defects and are inherent to secondhand industrial containers.
3.2 Grading System
We classify our IBCs using a grading system (e.g., Grade A, Grade B, Grade C) described on our website. Grades reflect the cosmetic and functional condition at the time of inspection. Product images are representative and may not depict the exact unit you receive, as each used container is unique.
3.3 Intended Use
It is the buyer's sole responsibility to determine the suitability of any IBC for its intended application. IBC San Francisco does not guarantee that any used or reconditioned container is suitable for food-grade, pharmaceutical, hazardous material, or other regulated applications unless explicitly stated in writing at the time of sale. Buyers must independently verify compliance with all applicable regulations for their intended use.
3.4 New IBCs
New IBC totes are sold as-is from the manufacturer. Any manufacturer warranties are passed through to the buyer where applicable. IBC San Francisco's warranties on new containers are limited to those explicitly stated in the sales documentation provided at the time of purchase.
4. Pricing and Payment Terms
4.1 Pricing
All prices displayed on our website are in US Dollars and are subject to change without notice. Quoted prices are valid for 7 business days from the date of the quote unless otherwise stated. Prices do not include applicable taxes, delivery fees, or other charges unless explicitly specified.
4.2 Payment
Payment terms are established on a per-order basis. Unless otherwise agreed in writing, payment is due in full prior to release of goods. We accept payment by check, wire transfer, ACH, and major credit cards. A processing fee may apply to credit card transactions on orders above stated thresholds.
4.3 Late Payments
For approved credit accounts, invoices are due Net 30 unless otherwise specified. Late payments may incur a service charge of 1.5% per month (18% per annum) on the outstanding balance. We reserve the right to suspend services and future orders for accounts with past-due balances.
4.4 Buyback Payments
For customers selling IBCs to us, payment is processed after physical inspection and acceptance of the containers at our facility. Payment amounts are based on the condition, quantity, and type of IBCs as assessed at the time of receipt. Quoted buyback prices are estimates and are subject to adjustment based on actual inspection results.
5. Warranties and Limitations
5.1 Limited Warranty
Reconditioned IBCs are warranted to be free from leaks and structural defects for a period of 30 days from the date of delivery. This warranty covers only the structural integrity of the container and valve assembly under normal use conditions. Claims must be reported within the warranty period.
5.2 Warranty Exclusions
This warranty does not cover:
- Damage caused by improper handling, storage, or transportation after delivery
- Damage caused by overfilling, chemical incompatibility, or exposure to extreme conditions
- Normal wear and tear, including cosmetic deterioration
- Modifications or repairs made by anyone other than IBC San Francisco
- Used IBCs sold "as-is" at discounted pricing
- Fitness for any particular purpose beyond general liquid storage
5.3 Disclaimer
EXCEPT AS EXPRESSLY SET FORTH HEREIN, ALL PRODUCTS AND SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. IBC SAN FRANCISCO MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE SUITABILITY OF ANY PRODUCT FOR A SPECIFIC APPLICATION.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBC SAN FRANCISCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THE USE OF OUR PRODUCTS OR SERVICES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.
Our total aggregate liability for any claim arising from or related to the products or services provided shall not exceed the total amount paid by the customer for the specific product or service giving rise to the claim.
7. Orders, Delivery, and Returns
7.1 Order Acceptance
All orders are subject to acceptance by IBC San Francisco. We reserve the right to refuse or cancel any order for any reason, including inventory limitations, pricing errors, or suspected fraud. If an order is cancelled after payment, a full refund will be issued.
7.2 Delivery
Delivery dates are estimates and are not guaranteed. Title and risk of loss pass to the buyer upon delivery to the specified address or upon pickup from our facility. The buyer is responsible for inspecting deliveries upon receipt and reporting any damage or discrepancies within 48 hours.
7.3 Returns
Returns are accepted within 7 business days of delivery for products that do not match the description or grade specified at the time of sale. Returned items must be in the same condition as delivered. Return shipping costs are the buyer's responsibility unless the return is due to our error. Custom orders and specially cleaned containers are non-returnable.
8. Intellectual Property
All content on the IBC San Francisco website, including text, graphics, logos, images, and software, is the property of IBC San Francisco or its content suppliers and is protected by United States and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content on our Site without prior written consent.
9. Indemnification
You agree to indemnify, defend, and hold harmless IBC San Francisco, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of our products or services, your violation of these Terms, or your violation of any rights of a third party.
10. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in San Francisco County, California.
Before initiating formal legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of no less than 30 days.
11. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
12. Entire Agreement
These Terms, together with any written sales agreements, quotes, or order confirmations, constitute the entire agreement between you and IBC San Francisco regarding the subject matter herein. Any prior agreements, representations, or understandings are superseded by these Terms.
